Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the WhatsApp Business communication platform at https://app.vasishtha.co (the “Service”), operated by Vasishtha Digital Solutions (“Vasishtha Digital Solutions”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

The Service lets businesses manage WhatsApp conversations, contacts, lead forms, automations, campaigns, and related communication tools through the WhatsApp Business Platform. We may add, change, or remove features over time.

2. Eligibility & accounts

• You must be at least 18 years old and able to form a binding contract.
• You are responsible for your account, the accuracy of your information, and all activity under it.
• Keep your credentials confidential and notify us promptly of any unauthorized use.
• You are responsible for the users you invite to your Workspace and their compliance with these Terms.

3. Acceptable use

You agree not to use the Service to:

• Send spam, unsolicited messages, or contact people without a lawful basis or required consent.
• Violate any law, regulation, or third-party right.
• Transmit malware, attempt to breach security, or disrupt the Service.
• Send fraudulent, deceptive, harassing, hateful, or otherwise prohibited content.
• Reverse engineer, resell, or misuse the Service except as expressly permitted.

4. WhatsApp & third-party terms

Your use of the Service through the WhatsApp Business Platform is also subject to Meta’s and WhatsApp’s policies, including the WhatsApp Business Messaging Policy and Commerce Policy. You are responsible for obtaining valid opt-in/consent from your contacts and for complying with all applicable messaging rules. Violations may result in your WhatsApp number being restricted by Meta, which is outside our control.

5. Subscriptions, billing & payments

• Paid plans are billed on a recurring per-seat basis through our payment processor (Razorpay). By subscribing, you authorize recurring charges for each billing cycle until cancelled.
• The amount charged each cycle is the plan’s per-seat price multiplied by your active seat count, plus applicable taxes.
• Subscriptions renew automatically. You may cancel at any time; cancellation takes effect at the end of the current paid cycle, and access continues until then.
• Fees are non-refundable except where required by law or expressly stated. Failed or reversed payments may result in suspension of paid features.
• We may change pricing with reasonable notice; changes apply to subsequent billing cycles.

6. Trials & plan changes

We may offer trials or promotional plans. Unless you subscribe to a paid plan, access may be limited or paused when a trial or grant ends. Upgrading, downgrading, or changing seats may adjust the amount billed in subsequent cycles.

7. Your data & responsibilities

You retain ownership of the content and contact data you bring to the Service (“Customer Data”). You grant us a limited license to host and process Customer Data solely to provide the Service. You are responsible for ensuring you have the rights and consents necessary to use the Service with your contacts, and for the lawfulness of your messaging.

8. Intellectual property

The Service, including its software, design, and trademarks, is owned by Vasishtha Digital Solutions and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.

9. Service availability

We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service may depend on third parties (including Meta/WhatsApp and payment and hosting providers) whose availability we do not control. The Service is provided “as is” and “as available” without warranties of any kind, to the extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, Vasishtha Digital Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid to us for the Service in the three (3) months preceding the event giving rise to the claim.

11. Indemnity

You agree to indemnify and hold Vasishtha Digital Solutions harmless from claims, damages, and expenses arising from your use of the Service, your Customer Data, or your violation of these Terms or applicable law.

12. Suspension & termination

We may suspend or terminate access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to others, the Service, or our providers. You may stop using the Service at any time. On termination, your right to use the Service ends; certain provisions survive termination by their nature.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date above. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The courts located in India will have jurisdiction over any disputes, subject to applicable law.
